Patient Value Terms Of Service
1. Business subscription
These terms apply to businesses purchasing Patient Value for use within their clinic or organisation.
By completing payment, the clinic confirms that:

It is purchasing Patient Value wholly or mainly for business purposes.

The person completing payment is authorised to enter into this agreement on behalf of the clinic.

It has reviewed and accepted these Subscription Terms.
-
It has reviewed the applicable Privacy Notice and Data Processing Terms.
These terms do not apply to individuals purchasing the service primarily for personal or household use.
2. The service
Patient Value provides a branded digital card programme designed for storage within supported Apple Wallet and Google Wallet devices.
Depending on the agreed configuration, the service may include:

A branded clinic Wallet card.

Patient enrolment through a QR code or enrolment link.
-
Visit or point tracking.
-
Reward functionality.
-
Referral functionality.
-
Wallet notification capability.
-
Initial configuration.
-
Reasonable staff training.
-
Ongoing technical and programme support.
The exact programme configuration will be agreed during onboarding.
Patient Value does not guarantee any specific increase in bookings, revenue, referrals, patient retention or other commercial result.
3. Subscription commencement
The subscription begins when the clinic successfully completes its first payment.
Payment activates the onboarding process. Bespoke configuration and design work will not normally begin until:

Payment has been received.

Required onboarding information has been provided.
-
Any required service or data-processing agreement has been accepted.
4. Monthly renewal
The subscription operates on a monthly rolling basis.
The subscription renews automatically each month using the payment method provided at checkout until it is cancelled.
The clinic authorises Patient Value and its payment provider to collect the recurring subscription payment on each billing date.
The amount and billing frequency shown at checkout form part of this agreement.
The clinic is responsible for maintaining a valid payment method and accurate billing information.
5. Founding-clinic rate
Where the clinic joins under an expressly identified founding-clinic rate, that rate will remain available while the clinic maintains an uninterrupted subscription.
The founding rate does not automatically apply to:

Additional clinic locations.
-
Additional card programmes.
-
New brands operated by the clinic.
-
Additional services.
-
A future subscription started after cancellation.
-
A subscription that has been terminated because of non-payment or material breach.
If a founding subscription ends and the clinic later returns, any new subscription will normally be charged at the price available at that time.
Any exception must be confirmed by Patient Value in writing.
6. Cancellation
The clinic may cancel its subscription at any time by:

Using the available subscription-management or cancellation facility; or
-
Sending a clear written cancellation request to the Patient Value support email address.
The cancellation request must identify:
-
The clinic.
-
The account being cancelled.
-
The authorised person making the request.
A cancellation made before the next billing date prevents the following monthly renewal.
Unless the clinic requests immediate deactivation, cancellation takes effect at the end of the current paid billing period. The clinic may continue using the service until that date.
Cancellation does not normally reverse a payment that has already been collected for the current billing period.
A request made after a renewal payment has been collected will stop the following renewal but will not normally generate a partial refund for the newly started billing period.
Patient Value will confirm receipt of the cancellation request and the effective termination date.
7. Immediate deactivation
The clinic may request that its service be deactivated immediately rather than at the end of the current billing period.
Where immediate deactivation is requested:

The card programme may be disabled immediately.
-
Scanning and reward functions may stop.
-
Wallet notifications may stop.
-
Dashboard or administrative access may stop.
-
Ongoing support relating to normal operation may stop.
-
The remaining unused portion of the paid billing period will not normally be refunded.
The clinic should only request immediate deactivation after considering whether it needs to export any available information.
8. Refunds
Payments are generally non-refundable where:

The clinic changes its mind.
-
The clinic does not use the service.
-
Staff do not introduce the programme to patients.
-
Patients do not adopt the card.
-
The clinic requests immediate deactivation.
-
The clinic cancels after a new billing period has begun.
-
The clinic fails to provide information, assets or approvals required for implementation.
-
The clinic does not achieve an expected commercial result that Patient Value did not guarantee.
Nothing in these terms removes any right or remedy that cannot legally be excluded.
A refund, service credit or other remedy may be considered where:

Patient Value has taken payment incorrectly.
-
Duplicate payment has occurred.
-
Patient Value is unable to provide a material part of the agreed service.
-
Patient Value has committed a material breach that has not been corrected within a reasonable opportunity.
-
A refund is otherwise required by applicable law.
Any discretionary refund does not create an obligation to provide the same refund in another situation.
9. Failed payments
If a recurring payment fails, Patient Value may:

Notify the clinic.
-
Retry the payment.
-
Ask the clinic to update its payment method.
-
Temporarily restrict or suspend the service.
-
Terminate the subscription if payment remains outstanding.
Any suspension does not cancel amounts already due.
Access may be restored after outstanding payments have been settled, subject to technical availability and these terms.
10. What happens when the subscription ends
When cancellation or termination takes effect:

The clinic’s active subscription ends.
-
The Wallet card programme may be disabled.
-
New patient enrolments may stop.
-
Scanning may stop.
-
Points, visits and rewards may stop updating.
-
Referral functionality may stop.
-
Wallet notifications may stop.
-
Dashboard and staff access may be removed.
-
Patient Value’s ongoing support obligations for the active programme end.
Cards previously saved by patients may remain visible temporarily on their devices because of device or platform behaviour, but they may no longer update or function as an active programme.
Patient Value does not guarantee that an inactive card will remain usable after termination.
11. Patient information and data roles
For patient personal information processed through the clinic’s programme:

The clinic will normally act as the data controller.
-
Patient Value will normally act as a data processor acting on the clinic’s documented instructions.
-
Relevant technology providers may act as authorised sub-processors.
The clinic is responsible for:

Establishing an appropriate lawful basis for collecting and using patient information.
-
Giving patients appropriate privacy information.
-
Obtaining any permissions required for marketing communications.
-
Responding to patient rights requests as controller.
-
Ensuring that information supplied to Patient Value is lawful, accurate and necessary.
-
Avoiding the submission of unnecessary medical or clinical information.
Patient Value will process patient information only for the purpose of providing and supporting the agreed service, except where UK law requires otherwise.
The full responsibilities of both parties should be set out in a separate Data Processing Agreement.
12. Data options when the subscription ends
Before the effective termination date, the clinic may request:
Option A — Return or export
Patient Value will provide an available export or return of the clinic’s patient information, subject to:

The functionality of the underlying platform.
-
Identity and authority checks.
-
Technical limitations.
-
Any agreed reasonable administrative charge for exceptional work.
After the agreed return or export has been completed, remaining copies will be deleted or anonymised in accordance with the Data Processing Agreement and applicable retention procedures.
Option B — Restricted 30-day offboarding period
The clinic may instruct Patient Value to retain available programme information in a restricted, inactive state for up to 30 days after termination solely to:

Allow the clinic to request an available export.
-
Correct an accidental cancellation.
-
Allow a short reactivation period.
During this period:
-
The active service remains disabled.
-
Information must not be used for marketing or unrelated purposes.
-
Access must be restricted to authorised personnel.
-
The clinic remains responsible for providing any necessary data instructions.
At the end of the 30-day period, patient personal information will be deleted, returned or anonymised as required by the Data Processing Agreement, unless UK law requires continued storage.
Option C — Prompt deletion
The clinic may instruct Patient Value to delete or anonymise patient personal information promptly after termination, subject to:

Completion of required identity checks.
-
Technical processing time.
-
Limited backup-retention cycles.
-
Any legal requirement to retain particular records.
Deleted or anonymised information may not be recoverable.
If the clinic provides no alternative written instruction, Patient Value may apply the restricted 30-day offboarding period before deletion or anonymisation, where this is permitted by the Data Processing Agreement and the underlying platform.
13. Information that may be retained
Patient Value may retain the minimum information reasonably required for:

Invoices and accounting.
-
Tax and financial records.
-
Evidence of the contractual relationship.
-
Payment disputes.
-
Fraud prevention.
-
Legal claims.
-
Regulatory obligations.
-
Security and incident records.
-
Records of consent, objections or suppression where retention is necessary to honour them.
This may include the clinic’s business contact details, contracts, invoices, payment records and support history.
It does not give Patient Value permission to retain all identifiable patient information indefinitely.
Information retained for legal, accounting or dispute purposes will not be used to continue the cancelled service or market to patients.
14. Reactivation
A clinic may ask to reactivate Patient Value after cancellation.
Reactivation is subject to:

Platform availability.
-
Account availability.
-
The pricing and setup fees applicable at the time.
-
Completion of any required onboarding or verification.
-
Acceptance of the current contractual terms.
-
Payment of any outstanding amounts.
Patient Value does not guarantee that previously deleted information, card configurations, patient records, links or rewards can be restored.
Where information remains available during an agreed offboarding period, Patient Value may restore the account where technically possible.
15. Clinic responsibilities
The clinic agrees to:

Provide accurate business and programme information.
-
Provide assets it has the right to use.
-
Approve card wording and programme rules.
-
Define financially and clinically appropriate rewards.
-
Honour valid rewards issued under the approved programme.
-
Ensure staff use the service appropriately.
-
Keep login details secure.
-
Promptly remove access for staff who leave.
-
Comply with applicable privacy and marketing requirements.
-
Avoid sending unlawful, misleading or inappropriate notifications.
-
Avoid uploading unnecessary clinical or special-category information.
-
Notify Patient Value promptly of security or data concerns.
-
Avoid using Patient Value for illegal, deceptive or harmful purposes.
16. Third-party platforms
Patient Value relies on third-party services, including Wallet technology, payment providers and software-platform providers.
Some functions may be affected by:

Device compatibility.
-
Platform updates.
-
Service outages.
-
Third-party restrictions.
-
Changes imposed by Apple, Google, Stripe, BoomerangMe or other providers.
-
Internet connectivity.
-
Actions taken by the clinic or its patients.
Patient Value will take reasonable steps to investigate material issues but cannot guarantee uninterrupted availability of systems outside its direct control.
17. Suspension or termination by Patient Value
Patient Value may suspend or terminate the service where:

Payment remains overdue.
-
The service is being misused.
-
The clinic creates a security or data-protection risk.
-
The clinic sends unlawful or seriously inappropriate communications.
-
The clinic commits a material breach and fails to correct it.
-
Continuing the service would breach the law or a third-party platform requirement.
Where reasonably possible, Patient Value will provide notice and an opportunity to correct the issue before termination.
Immediate action may be taken where necessary to protect patients, personal information, system security or legal compliance.
18. Limitation and preserved rights
Nothing in these terms excludes or restricts liability where doing so would be unlawful.
Patient Value is not responsible for commercial results that depend on factors outside its reasonable control, including:

Patient adoption.

Staff adoption.
-
Treatment demand.
-
Clinic pricing.
-
Clinic service quality.
-
Clinic communications.
-
Patient consent.
-
The clinic’s implementation of the programme.
The clinic remains responsible for all clinical decisions, patient care, treatment suitability and medical communications.
19. Changes to these terms
Patient Value may update these terms to reflect:

Legal or regulatory changes.
-
Security requirements.
-
Third-party platform changes.
-
Reasonable changes to the service.
Material changes affecting an active clinic will be communicated before they take effect where reasonably practical.
A change to the subscription price will not be imposed retrospectively and will be communicated before a future billing date, except where the clinic has a separately agreed protected founding rate.
20. Governing law
These terms and any dispute relating to them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, unless applicable law requires otherwise.
21. Acceptance
By completing checkout, the clinic confirms that it has read, understood and agreed to:

These Monthly Subscription Terms.

The applicable Privacy Notice.
-
The Data Processing Agreement where patient information is processed.
-
The recurring payment arrangement displayed at checkout.
